FDI restaurant in Vietnam: permit stack by stage
In plain termsA restaurant is not an ERC (Enterprise Registration Certificate) with a kitchen. Foreign investors usually need investment and company files, then a stack of operating permits: food safety, fire prevention, location/conditions, and sometimes alcohol or music. Open in the wrong order and you refit the site.
Start here — three checks
- Separate incorporation (IRC/ERC) from opening permits. The company can exist while the kitchen is still illegal to run.
- Lock the site’s use conditions before you pay a heavy fit-out. Fire and food-safety layout beat interior design.
- Sequence staff work permits after the employing entity exists — not on a tourist stay “until the café opens. ”
Decision map
| Signal | Lock now | If skipped |
|---|---|---|
| IRC/ERC in progress, lease not signed | Check land-use, house-business vs enterprise, and building function before deposit. | You fit out a premises that cannot host F&B for a foreign-invested company. |
| Company exists; kitchen drawings start | Run fire prevention and food-safety layout against the same drawings. Do not decorate first. | Inspectors require walls, vents, or exits you already covered with millwork. |
| Soft launch wanted “for friends and press” | Treat paid service as opening. Soft launch still needs the operating stack. | You generate revenue inside a representative-office mindset or an incomplete permit set. |
| Alcohol, outdoor seating, or live music added later | Treat each add-on as a new permit question, not a menu update. | The core food licence exists; the new activity does not. |
| Foreign chef or manager arriving next month | Start work-permit classification now. Title on the menu is not a labour category. | The restaurant can open and still have unlawful foreign labour on day one. |
Common wrong movesWhere people lose time on this exact question.
- Paying full fit-out on a site whose function or fire path cannot support F&B.
- Using a household-business (hộ kinh doanh) story. That door is closed to foreigners; you need an enterprise.
- Copying a Vietnamese operator’s permit list as if FDI had the same stack.
If this fails, do this nextRecovery order — not a generic legal memo.
- Stop service that lacks the operating permit. Keep incorporation work that is already lawful.
- Rebuild the stack by stage: site legality, fire/food, then add-ons, then labour.
- If the vehicle was wrong (RO, household business, trading-only company), change structure before more fit-out cash.
Published gapWhat we do not invent on this page.
Provincial food-safety and fire lists differ by venue type. We do not publish a fake national one-page permit catalogue. Stage the stack; pull the current provincial forms for the exact address.
Common questions
What licences does a foreign investor need to open a restaurant in Vietnam?
Start with the investment and company layer (IRC and ERC where required), then operating permits for that address — typically food safety and fire prevention — then add-ons such as alcohol. Incorporation alone is not an opening licence.
Can I open on ERC while food-safety is still pending?
Not as a lawful kitchen. ERC proves the company. Serving food is a later stack. A “soft launch” is still service.
Is hộ kinh doanh available for a foreigner’s café?
No. Household-business registration is closed to foreigners. Plan an enterprise and the FDI licensing path.
